1. Klaritee Focus

Klaritee Focus is a contract-analysis product designed to recognize contract terms, organize recognized language into categories, connect findings to source text, and generate reports and related artifacts from the material you submit.

Focus is a software product. Klaritee is not a law firm, Focus is not a lawyer, and use of Focus does not create an attorney-client, fiduciary, advisory, or other professional relationship. Focus does not replace independent legal, financial, tax, compliance, cybersecurity, insurance, or other professional advice.

2. Eligibility and authority

You may use Focus only if you are legally capable of entering into a binding agreement. If you use Focus for a company, firm, client, employer, or other organization, you represent that you are authorized to accept these Terms for that organization and that your use of Focus does not violate any duty, policy, contract, law, or professional rule that applies to you.

You are responsible for determining whether you have the right to submit a document to Focus. Do not submit documents, personal information, confidential information, trade secrets, privileged material, regulated records, or third-party content unless you are permitted to do so.

3. Accounts and account security

Some features require an account. Authentication and account-management functions may be provided by a third-party identity provider. You are responsible for maintaining the confidentiality of your credentials, protecting devices used to access Focus, and all activity that occurs through your account.

You may not share credentials in a way that defeats usage, licensing, or access controls. You must provide accurate account information and keep it reasonably current. Klaritee may restrict or suspend an account if it reasonably believes the account is compromised, being misused, or being used in violation of these Terms.

4. Free usage, paid access, and complimentary access

Focus may offer a free usage allowance, paid full access, and complimentary access codes. Free allowances, eligibility rules, product limits, and the features included in each access level may change as Focus evolves.

Complimentary access codes are discretionary, non-transferable unless Klaritee expressly permits sharing, have no cash value, and do not create a payment credit, refund right, ownership interest, or entitlement to future products. Klaritee may stop issuing new complimentary access, reject invalid codes, and prevent abuse of access codes.

A complimentary user may have the same product access as a paid user, but complimentary access is not a Stripe purchase and does not create a paid entitlement.

5. Limited right to use Focus

Subject to these Terms, Klaritee grants you a limited, revocable, non-exclusive, non-transferable right to access and use Focus for your personal use or internal business purposes. This right does not include ownership of Focus, the underlying engines, rules, detectors, taxonomies, architecture, interfaces, report systems, source code, designs, trademarks, or other Klaritee intellectual property.

You may download, retain, print, edit, and internally use reports and artifacts generated from your own submitted material, subject to any third-party rights in the underlying document.

6. Your documents and submitted content

As between you and Klaritee, you retain whatever rights you already have in documents, text, and other material you submit. You grant Klaritee the limited right to process submitted material as necessary to provide the analysis, generate requested outputs, secure and operate the service, and comply with applicable law.

You represent that submitting the material to Focus and permitting that processing does not violate another person's rights, confidentiality obligations, contractual restrictions, court orders, professional duties, or applicable law.

The Focus data design is further described in the Privacy Policy and Data Policy (POOF) page. Those pages are incorporated into these Terms by reference for purposes of explaining how submitted material and operational records are handled.

7. No legal advice and no reliance as a substitute for judgment

Focus identifies and explains contract language. It does not determine whether you should sign a contract, whether a provision is enforceable, whether a clause is commercially acceptable, whether a contract complies with every law that may apply, or what action is best for your specific facts.

Contract meaning can depend on governing law, surrounding facts, industry practice, negotiation history, incorporated documents, definitions, attachments, amendments, regulations, and facts that are not contained in the submitted text. You remain responsible for reading the underlying contract and deciding what to do with the result.

8. Deterministic analysis and product limitations

Focus uses deterministic rules for its contract-analysis verdict path. A contract evaluated against the same engine version and the same settings is intended to produce the same deterministic result. Engine versions, registered terms, categories, rules, explanations, interfaces, and report formats may change over time.

Deterministic does not mean infallible, complete, legally dispositive, or guaranteed to identify every issue. Focus may fail to recognize relevant language, may recognize language that you consider unimportant, and may not capture context that exists outside the submitted material.

Klaritee does not promise that a result is correct for every jurisdiction, transaction, profession, contract type, or legal question. You should review the source text and use independent judgment before acting on an output.

9. Reports, exports, and artifacts

Focus may generate summaries, findings reports, category views, certificates, audit records, governance reports, annotated documents, hashes, receipts, and other artifacts. Those outputs reflect the engine version, settings, and material processed for that run.

A report is not a guarantee, certification by a government body, legal opinion, insurance policy, audit opinion, compliance attestation by an accredited auditor, or substitute for required professional review unless Klaritee expressly states otherwise in writing.

If you edit an output after generation, Klaritee is not responsible for the altered version. Hashes, identifiers, and integrity records apply only to the specific output and source state to which they were generated.

10. Purchase, billing, and payment authorization

Paid full access is offered as a one-time purchase unless the checkout page expressly states otherwise. The amount charged is the amount displayed at Stripe-hosted checkout at the time of purchase. Taxes, if required, may be added or handled as shown at checkout.

By completing checkout, you authorize Stripe and Klaritee to process the displayed one-time charge. Payment-card information is handled by Stripe; Klaritee does not require your full payment-card number to operate Focus.

A successful payment creates the paid entitlement associated with the authenticated account credited by the checkout process. Access is not transferable merely because a receipt, link, browser session, or payment method is shared.

11. No-refund policy

ALL PURCHASES ARE FINAL. KLARITEE DOES NOT OFFER REFUNDS, CREDITS, PRORATED REFUNDS, PARTIAL REFUNDS, OR EXCHANGES FOR KLARITEE FOCUS, EXCEPT WHERE A REFUND IS REQUIRED BY APPLICABLE LAW.

The no-refund policy applies to unused access, limited use, accidental non-use, change of mind, dissatisfaction with a result, a decision not to continue using Focus, duplicate analysis of the same contract, failure to reach an expected business outcome, or a later decision to use another product or professional service.

A billing error is different from a refund request. If the same purchase is charged more than once because of a payment-processing error, or if a charge is demonstrably unauthorized, the issue may be investigated and corrected as appropriate. This does not create a general refund right.

12. Chargebacks and payment disputes

If you believe a charge is incorrect, you should first use the billing or account mechanisms made available through Focus. Filing a knowingly false or abusive chargeback, payment reversal, or fraud claim may result in suspension of access and preservation of relevant transaction records for dispute resolution.

Klaritee may provide Stripe, a card network, financial institution, or payment processor with purchase, account, entitlement, and usage records reasonably necessary to respond to a payment dispute.

13. Prohibited conduct

You may not use Focus to:

• violate any law, regulation, court order, professional obligation, or third-party right;
• submit material you are not authorized to process;
• interfere with the service, defeat rate limits, bypass access controls, or attempt unauthorized access;
• probe, scan, exploit, disrupt, overload, or test the service in a manner not expressly authorized;
• scrape or systematically extract the product, rule set, detector library, taxonomy, reports, or interface;
• reverse engineer, decompile, disassemble, reproduce, or create derivative products from Focus except where applicable law expressly permits it;
• use Focus or its output to train, benchmark for replication, clone, or build a competing analysis product without written permission;
• misrepresent a Focus output as legal advice, a governmental determination, an accredited audit, or a guarantee by Klaritee;
• resell, sublicense, lease, rent, or commercially redistribute Focus access without written permission; or
• use automated means to access Focus in a manner that materially exceeds normal product use or harms service availability.

14. Klaritee intellectual property

Focus and its underlying software, architecture, rules, registered terms, detectors, category systems, scoring or counting methods, report templates, visual design, product copy, documentation, trade names, logos, trademarks, and other proprietary materials are owned by Klaritee or its licensors and are protected by intellectual-property and other laws.

Except for the limited right to use Focus granted in these Terms, no license or ownership interest is transferred to you. No right is granted by implication, estoppel, or otherwise.

15. Feedback

If you voluntarily provide suggestions, feature ideas, corrections, product feedback, or other recommendations about Focus, Klaritee may use that feedback without restriction or payment to you. This does not give Klaritee ownership of your underlying contracts or confidential business information.

16. Third-party services

Focus relies on third-party services for functions such as authentication, payment processing, database infrastructure, hosting, and other technical operations. Those providers may have their own terms and privacy practices.

Klaritee is not responsible for a third-party service's independent acts, outages, security incidents, policy changes, or processing outside Klaritee's reasonable control. Focus may be unavailable when a required third-party service is unavailable.

17. Availability, maintenance, and changes

Focus may change over time. Klaritee may add, modify, replace, limit, suspend, or remove features; change engine versions; update registered terms or explanations; alter reports; modify free-usage limits; or perform maintenance without guaranteeing uninterrupted availability.

Klaritee does not promise that every current feature will remain available forever or that a prior engine version will remain accessible. Material already exported by you is your responsibility to retain.

18. Suspension and termination

Klaritee may suspend or terminate access if it reasonably believes there is fraud, unlawful activity, abuse, a security threat, attempted circumvention of controls, nonpayment, a material violation of these Terms, or conduct that risks harm to Focus, Klaritee, another user, or a third party.

You may stop using Focus at any time. Stopping use does not create a refund right. Provisions that by their nature should survive termination, including ownership, disclaimers, limitations of liability, payment obligations, no-refund terms, and dispute provisions, survive.

19. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, FOCUS, ITS OUTPUTS, AND ALL RELATED FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” KLARITEE DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, QUIET ENJOYMENT, AND FITNESS FOR ANY PARTICULAR LEGAL, BUSINESS, COMPLIANCE, OR TRANSACTIONAL OUTCOME.

Klaritee does not warrant that Focus will be uninterrupted, error-free, secure, immune from attack, compatible with every document, or sufficient to identify every clause, obligation, risk, right, remedy, conflict, or legal issue.

20. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KLARITEE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOST BUSINESS OPPORTUNITIES, LOST DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO FOCUS OR THESE TERMS, EVEN IF KLARITEE WAS ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, KLARITEE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO FOCUS OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU ACTUALLY PAID TO KLARITEE FOR FOCUS DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.

21. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Klaritee from claims, liabilities, damages, judgments, losses, costs, and reasonable expenses arising from your submitted material, your unlawful or unauthorized use of Focus, your violation of these Terms, or your violation of another person's rights.

This section does not require a consumer to indemnify Klaritee to the extent such an obligation is prohibited by applicable consumer law.

22. Compliance with law

You are responsible for complying with laws and professional obligations that apply to your use of Focus, including requirements concerning confidentiality, privilege, records, privacy, data protection, export controls, sanctions, employment, consumer protection, and regulated information.

23. Disputes and applicable law

These Terms are governed by applicable law without giving effect to rules that would require application of another jurisdiction's law, except where consumer or other mandatory law provides otherwise.

Before filing a formal claim, the parties should make a reasonable effort to resolve the dispute informally. If informal resolution is unsuccessful, a dispute may be brought in a court that has lawful jurisdiction over the parties and the dispute. Nothing in these Terms limits rights that cannot lawfully be waived.

24. General terms

These Terms, together with the Privacy Policy, Data Policy, and any terms presented at checkout, form the agreement governing Focus. If a checkout term expressly conflicts with these Terms on price or the specific purchase being made, the checkout term controls for that purchase.

If any provision is found unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign or transfer these Terms without Klaritee's consent. Klaritee may assign these Terms as part of a reorganization, financing, sale, transfer, or succession involving the product or business. Headings are for convenience only.

Neither party is responsible for delay or failure caused by events beyond its reasonable control, except that this does not excuse payment obligations already incurred.

25. Changes to these Terms

Klaritee may update these Terms as Focus changes. The effective date at the top identifies the current version. Material changes may be presented through the site, the product, the account experience, or another reasonable notice mechanism.

Your continued use of Focus after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law. If you do not agree to an update, stop using Focus.
